1. Agreement to Terms

These Terms of Service ("Agreement") constitute a binding agreement between you and LuX Ventures LLC ("Company," "we," "us," "our"), located in Piermont, NY, regarding your access to and use of the Vizibly.ai platform and services (the "Service").

By accessing, browsing, or using our Service, you agree to be bound by this Agreement. If you do not agree to all terms and conditions, do not use the Service.

2. Service Description

Vizibly.ai provides AI visibility monitoring and optimization services designed to help local businesses enhance their presence in AI-generated recommendations and AI applications. Our services include:

• AI visibility audits and analysis
• Optimization recommendations and implementation support
• Performance tracking and reporting
• Ongoing monitoring and consultation

Results are not guaranteed, and visibility improvements depend on various factors including implementation quality, market conditions, and competitive landscape.

3. Subscription Terms

Our Service is offered on a subscription basis with the following terms:

• Billing Cycle: Monthly or annual subscription options are available. Billing occurs at the beginning of each cycle.
• Cancellation: You may cancel your subscription at any time. Cancellation requests must be submitted through your account settings or via email to hello@vizibly.ai. Cancellations are effective at the end of the current billing period.
• No Long-Term Contracts: There are no mandatory long-term contracts. You are free to cancel monthly subscriptions anytime without penalty.
• Refunds: Refunds are not available for partially used subscription periods. Service discontinuation is effective at the end of the paid period.

4. Payment Terms

All payments for our Service are processed through Stripe, our third-party payment processor:

• Payment Processing: By subscribing, you authorize Stripe to charge your payment method for the subscription fee and any applicable taxes.
• Payment Method: You are responsible for maintaining current and accurate payment information. If a payment fails, we reserve the right to retry or suspend your service.
• Price Changes: We reserve the right to change subscription prices with 30 days' notice. Price changes take effect on your next renewal date.
• Taxes: You are responsible for any applicable sales, use, or other taxes. We will add applicable taxes to your invoice as required by law.

5. Acceptable Use Policy

You agree not to use the Service in any way that:

• Violates any applicable laws, regulations, or third-party rights
• Infringes on intellectual property rights or violates copyrights, trademarks, or patents
• Contains malware, viruses, or any malicious code
• Harasses, threatens, intimidates, or defames any person or entity
• Interferes with or disrupts the Service or servers/networks connected to it
• Attempts to gain unauthorized access to our systems or data
• Violates our policies on spam, scams, or deceptive practices
• Uses the Service for competitive intelligence or reverse engineering purposes

We reserve the right to suspend or terminate your access if you violate this policy.

6. Intellectual Property Rights

All content on the Service, including text, graphics, logos, images, and software, is owned by or licensed to the Company and protected by copyright and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal and business purposes. You may not reproduce, distribute, or transmit any content without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law:

• We provide the Service "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
• In no event shall the Company be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.
• Our total liability for any claim arising from this Agreement shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
• We are not responsible for third-party services, links, or content not directly controlled by us.

8. Termination

Either party may terminate this Agreement at any time:

• By You: Cancel your subscription through your account or by emailing hello@vizibly.ai. Termination is effective at the end of the current billing period.
• By Us: We may terminate or suspend your account immediately if you breach this Agreement, engage in illegal activity, or violate our Acceptable Use Policy.

Upon termination, your right to access the Service ceases immediately. We may delete your data after a reasonable retention period as outlined in our Privacy Policy.

9. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in New York County for the resolution of any disputes.

10. Dispute Resolution

Before pursuing legal action, we encourage you to contact us at hello@vizibly.ai to resolve any disputes informally. If we cannot resolve the dispute within 30 days, either party may pursue legal remedies as permitted by law.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without any warranties, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements. Use of the Service is at your own risk.

12. Modifications to Agreement

We reserve the right to modify this Agreement at any time. Material changes will be communicated to you via email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Agreement.
